Terms of Use - For Healthcare Professionals License Agreement between Khalid Ghalib Medical Company Limited and the healthcare professional wishing to participate and register in the Angels of Mercy application.
IMPORTANT: Read the following carefully before installing participation in this program and registering with it. This license agreement, hereinafter referred to as “the Agreement,” is made between: the healthcare professional (licensed to practice by the Ministry of Health and registered with the Medical Syndicate or other healthcare professionals) and the Angels of Mercy application, hereinafter referred to as “the application.” This agreement licenses healthcare professionals to register for the program mentioned in paragraph (1) below… which is a program that is downloaded and operated via the internet, and healthcare professionals can, after registration, provide medical and health services through requests sent by users and participants in the program that enables the user to summon one of the registered healthcare professionals to request medical or health services from the nearest professional as specified by the location system or through online communication in exchange for fees. This agreement relates to the rights of the end user and is not considered a sales agreement, and Khalid Ghalib Medical Company Limited remains the owner of the program. This agreement must be read carefully before registering for the program by clicking the “Agree” button during registration, and the healthcare professional agrees to the terms and conditions of this agreement. If the healthcare professional does not agree to all the terms and conditions of this agreement, they must click the “Reject” or “I do not agree” button and cancel the registration… The healthcare professional agrees that registration in the program and participation in it constitutes their acknowledgment of having read this agreement, understood it, and accepted to abide by its terms and conditions.
1- About the application The Angels of Mercy application is an electronic application for smartphones belonging to Khalid Ghalib Medical Company Limited, where the healthcare professional can, after registering their personal account, provide medical services to users in the announced specialties. After registering in the application, you will receive requests from patients closest to your specified location according to the location system, and once you accept the request, you will be obligated to travel to the patient’s location yourself to provide the announced medical services or be required to communicate via video in some cases.
2. Commitment You must adhere to all the terms and conditions contained in this agreement and the agreement made between you and the company and any other policies referred to, as well as all applicable laws, regulations, and rules when using this application. Under these terms and conditions, you are granted a limited, revocable, and non-exclusive right to use the application and its content in the context of normal use. You are not authorized to use the intellectual property rights of any third party except to the extent permitted by law. The Angels of Mercy application will retain ownership of all its intellectual property rights, and you have no right to obtain any of them under these terms and conditions or otherwise. You will also not have the right to use, copy, display, or create any derivative works from the parts, materials, and licenses of the content available on the application except to the extent necessary to use the application for its intended purpose. You may not attempt to reverse engineer any of the technologies used in providing the service. The Angels of Mercy application encourages you to contact us if you become aware of any behavior that violates these terms, as we reserve the right to respond to such communications but are not obligated to do so.
3. Independence You are an independent healthcare professional and not an agent or employee of the company. Accordingly, you undertake not to present yourself as an agent of the company and not to place yourself in the position of an agent or employee. You must not enter into any agreements that would bind the company to any legal obligations or otherwise. This will lead to the following: – You are fully responsible for providing the materials and supplies necessary to provide the service, the most important of which are: a first aid kit, a thermometer, and a blood pressure monitor. – You are responsible for all expenses related to your travel to and from the patient, as well as expenses related to the wages of your assistants. – You are fully responsible for your professional errors when they occur or any liabilities of any kind in any form when they occur to the applicants or users of the application “patients.” – You are responsible for all expenses resulting from any illness, infection, accident, etc., during or in connection with providing medical services. – You are solely responsible for all legal obligations and undertake to pay all financial obligations such as taxes, wages, fees, etc., due under various laws. – You are solely responsible for any medical consultations or any other consultations you provide to the users of the application. – You are responsible for renewing your professional practice license before it expires and providing Khalid Ghalib Medical Company Limited with a copy of the renewed license. You must practice your profession for the benefit of the individual and society within the framework of respecting human rights to life, safety, and dignity, taking into account the prevailing customs and traditions in Sudan and avoiding exploitation. You must respect the rights of patients and their families according to the legitimate principles and approved medical standards and all instructions from the ministry and relevant authorities in this regard. You must work to develop your knowledge and keep up with scientific developments and recent discoveries in your field of specialization, and you are committed not to practice scientifically unrecognized or prohibited diagnostic and treatment methods in Sudan. You must not perform any medical work that does not benefit the patient, even if it does not cause harm, such as prescribing unnecessary medications or tests or admitting the patient if their condition does not require it. You must conduct diagnoses with the necessary care using appropriate technical means and with the assistance of specialists or assistants as circumstances require, and provide the patient with what they request regarding their health condition and test results, taking into account accuracy and objectivity. The healthcare practitioner who knows that the required means or specialties for diagnosing and treating the case are not available must take the necessary care to refer the patient to the entities that have the necessary capabilities. Patient information is considered confidential files that may only be accessed by the treating medical staff or the patient or upon request from a security or judicial authority or for scientific purposes after obtaining consent from the relevant authority. Any professional health error committed by the healthcare practitioner that results in harm to the patient obligates the perpetrator to compensate.
4. Required Eligibility: You must be a licensed practicing healthcare professional registered with the Medical Syndicate and healthcare professionals with a valid license to register in the application after signing the agreement with the company to provide your medical services to users “patients.” Accordingly, you are responsible for obtaining the necessary licenses to provide medical services. By registering in this application, you acknowledge and guarantee that you have the right, authority, and necessary eligibility to enter into these terms of use and to comply with all the terms and conditions contained herein.
5. Registration of Healthcare Professionals and Password 5-1 Registration After agreeing to the above terms, you must log in to the Angels of Mercy application and create a “Healthcare Professional” account through the electronic registration process, and your account will give you the opportunity to operate the application to receive requests. During the account creation process, you must provide the Angels of Mercy application with accurate and complete information as specified in the registration form, and you must notify the Angels of Mercy application immediately of any changes to any of this information. If you fail to provide or update this information, you will not be able to provide your medical services to patients by registering as a healthcare professional in the Angels of Mercy application. You agree to use your email address to send notifications related to the service, including any notifications required by law and the service invoice. The Angels of Mercy application may send you any changes to the services. 5-2 Password During the registration process, you will be asked to choose a password. You must keep your password confidential as you will be fully responsible for any use of the password and the account, including, but not limited to, any use by any unauthorized third party. You must notify the Angels of Mercy application immediately if your account or password is compromised or accessed or used by anyone else. You must inform the Angels of Mercy application if you are certain or feel that there has been unauthorized access to your personal account. Additionally, you must notify the Angels of Mercy application if you feel that the application has been compromised. Repeated incorrect entries of your password will result in the temporary suspension of your account, which will require you to contact us to recover it… The company takes all protective measures, but we do not guarantee the success of preventing any breach of your account. You are solely responsible for protecting your password and bear full responsibility for any activity in your account, whether you authorized that activity or not. Under no circumstances should you respond to a request for your password, especially if the request is from someone claiming to be an employee of the Angels of Mercy application, as employees of the Angels of Mercy application will never ask for your password. You must notify the Angels of Mercy application if you receive such a request.
6. Privacy Policy The Angels of Mercy application and all its affiliates consider the privacy of your confidential information one of the most important elements in our relationship with you. We take our responsibility to maintain the confidentiality of your information seriously in accordance with the law’s requirements to protect the privacy and security of information. In the event of any breach that harms the integrity and confidentiality of your information, you will be notified immediately. We will not use or share any of your confidential information except as outlined below: Information necessary to provide medical services such as: your name, specialty, location, valid professional practice license, etc. Information that must be disclosed based on a judicial ruling or order. All content that does not relate to you or was not created by you, including but not limited to trademarks, logos, texts, and designs, is owned by the Angels of Mercy application, and you do not have the right to use it except as necessary to benefit from the provided service. You acknowledge that the agreement made between you and the company creates a confidential relationship between you. Based on this relationship, the company may disclose to you information about its ownership and commercial value, which is inherently confidential, and this information is considered trade secrets of the company. You must keep this information completely confidential, and you must not disclose it to others or use it for any purpose other than providing the service according to this agreement. You must maintain all content, whether written or unwritten, that the company provides to you, and you must not copy this content without prior written consent from the company. You also acknowledge that any unauthorized disclosure of any of this information/documents will result in loss and damage to the company, and you further agree that a breach of this clause grants the company the right to take all precautionary measures to restore its rights, without prejudice to any compensation stipulated by law.
7. Account Cancellation You agree that your account may be canceled at your request or at the discretion of the Angels of Mercy application and all its affiliates in the event of non-compliance with these terms and conditions.
8. Patient Information The patient information available on the application is intended solely to provide medical services, and therefore you must not publish or use any of this information outside the scope of the provided service. The Angels of Mercy application is not responsible for any incorrect information provided by patients.
9. Intellectual Property Rights You agree that nothing here grants you the right to use or exploit any intellectual property rights or anything attached to the application in good faith. You also agree that you always acknowledge the validity and ownership of the company and/or any of its branches, its affiliates, and/or the group of companies, as applicable, to the intellectual property rights, and you must not dispute their validity and ownership at any time. You also undertake not to take or use the company’s name, trade name, company address, or any commercial designs that include any of the names, characters, artistic works, or designs of trade names or trademarks or service marks of the company and/or its branches/group of companies or anything similar for any advertisements, sales promotions, or publicity. You agree that the company has the right to use the information provided by you for promotional and advertising purposes and also to use the articles you publish on the company’s website in general.
10. Amendments We may update or change our services or the provisions set forth in these terms from time to time, and therefore we recommend reviewing these terms regularly. Such amendments will have immediate effect. Therefore, you acknowledge and agree that your continued use of our services after updating or changing these terms constitutes your acceptance of these amended terms. If these terms are changed in a way that significantly affects your use of the services, we may, without obligation or restriction, send notifications on the application or inform you via email of such changes. The latest version of these terms and conditions prevails and replaces all previous versions.
11. Fees and Payment Method The healthcare professional is obligated to pay the amount due to the company according to the agreement made with them upon providing the service, either by depositing it into the company’s bank account or through the bank application. In the event of non-transfer, the second party will be automatically excluded from the application with the termination of the contract without the need for notice or warning, and the company has the right to pursue legal claims for its rights if it deems necessary.
12. Account Termination We may cancel and/or suspend your account immediately, without prior notice, if there is a violation of these terms and conditions or the agreement signed with the company. We may also cancel or suspend your account for any other reason, including prolonged inactivity, but we will attempt to notify you before such cancellation or suspension. The Angels of Mercy application will not be liable to you or any third party for this termination or cancellation.
13. Limitation of Liability The Angels of Mercy application will not be liable for any errors, inaccuracies, or loss of information and is not responsible for any breaches that may occur, as the Angels of Mercy application is not liable to any person for any injuries, damages, or losses (whether direct or indirect) or for any decision or action taken based on the service provided. The Angels of Mercy application does not provide any warranties or representations, express or implied, regarding the service or concerning any information, products, or services provided through the application.
14. Force Majeure The Angels of Mercy application may not be obligated to comply with the terms set forth in the event of any unforeseen events resulting from negative changes in laws or acts of sabotage or public disturbances or sudden events such as fires, floods, storms, hurricanes, or extraordinary weather conditions, war, riots, attacks, revolutions, terrorism, or any other causes, circumstances, or actions beyond control.
15. Disputes and Governing Law The relationship between the doctor and the company is governed by the agreements made with the doctor and the laws applicable in the Republic of Sudan. Any dispute arising regarding this relationship is resolved amicably according to the agreements made with the doctor.
16. Electronic Contracting and Notifications Agreeing to use this application constitutes an electronic signature on these terms and conditions, which include the privacy policy, in addition to your acceptance of electronic contracting with us. These terms and conditions are an integral part of the agreement made between the doctor and the company.
